Contract review checklist (have a lawyer review)
A checklist for reading vendor, venue and service contracts before you sign: who, what, money, cancellation, liability, insurance, data and approval.
Three editable formats: Word (.docx), Rich Text (.rtf) and plain text (.txt). Reviewed October 21, 2026.
How to use this template
- Download it as a Word file (.docx), which opens in Microsoft Word, Google Docs, Pages and LibreOffice, or as Rich Text (.rtf) or plain text (.txt). All three are editable.
- Fill in every blank. Blanks are in square brackets, like [ORGANIZATION NAME], and are highlighted in the preview below. Delete any bracketed notes you don't need.
- Make it yours. Check it against your bylaws and your state's rules, and change anything that doesn't fit. Have your board approve it where it says so.
- Printing? Print this page: the printout leaves out the site's menus and shows the template with lines for the blanks.
Small charities sign contracts all the time: a venue for the gala, a caterer, a printer, a software subscription, a cleaning company, a lease. Most are the other side's standard form, and it's tempting to sign quickly. This checklist walks you through what to look for, what to ask to change, and when to get help. Our legal basics guide explains contracts in plain words, including indemnity clauses.
The New York Attorney General's guidance on internal controls says a charity's written procedures should include "procedures for approving contracts to which the organization is a party, including securing competitive bids from vendors." Even if you're not in New York, that's good practice: decide who can sign what, and compare quotes for bigger contracts. Our financial controls guide covers approvals.
How to use it
- Read the whole contract, including anything it refers to ("terms and conditions at our website," "policies as updated").
- Mark each item OK, needs a change, or ask a lawyer.
- Ask for changes in writing. Standard forms can often be negotiated, especially cancellation dates, deposits and liability.
- Check for conflicts of interest. If a board member, staff member or their family has an interest in the other party, follow your conflict of interest policy before approving.
- Keep the signed copy and add it to your contract list with renewal and cancellation dates.
