Memorandum of understanding (MOU)

A plain fill-in MOU for two organizations working together: purpose, roles, contributions, data, credit, insurance, term and how to end it.

The Word file opens in Microsoft Word, Google Docs, Pages and LibreOffice. Reviewed October 21, 2026.

A memorandum of understanding (MOU) puts a partnership between two organizations in writing: why you're working together, who does what, and how you'll end it if you need to. HeadStart.gov, a federal Department of Health and Human Services site, describes an MOU as defining each party's roles, responsibilities and desired outcomes, and says that, unlike a contract, it is not a legally binding or enforceable agreement.

Use this template for a partnership built on shared goals, where each side contributes its own time, space or services. If one organization will pay the other, or pass on grant money, you probably need a contract instead. Our guide to partnership agreements explains the difference and when to get a lawyer.

How to adapt it

  • Write it together. Draft it in a meeting with your partner, not alone. The conversation is half the value.
  • Be specific about roles. "Provide space" is vague. "Provide the community room every Tuesday from 4 to 6 p.m." is clear.
  • Money. If no money changes hands, keep the sentence that says so. If money will change hands, stop and get advice about a contract.
  • Data. Keep the data section if you will share any information about people. Share only what's needed. See our guide to data privacy basics.
  • Insurance. Ask both insurers what they need before you sign.
  • Signatures. Have someone with authority sign for each organization, usually the executive director or board chair, as your bylaws or board allow.
  • Delete any section that doesn't apply, and remove every bracket before signing.
